Atlanta, Georgia – May 15, 2023 – DLH Holdings Corp. (NASDAQ: DLHC) (“DLH” or the “Company”), a leading provider of digital transformation, systems engineering and integration, and science research and development solutions to federal agencies, today announced that it has been awarded a contract to continue and significantly expand its IT services for the National Institute on Aging (“NIA”). NIA is the 3rd largest institute of the National Institutes of Health, dedicated to supporting and conducting research to better understand the nature of aging and the aging process, and diseases and conditions associated with growing older.
The contract includes a base period of one year with four one-year options, with a total value of $18.6 million. Through this award, DLH will be responsible for driving key digital transformation goals for the NIA Intramural Research Program, such as DevSecOps and scientific poly-Cloud enablement for high-performance computing and data science. The Company will provide a wide range of IT solutions in service of the customer’s research-based mission, including integrating new and existing IT assets, applications, services, and systems; digital transformation; cloud enablement, cybersecurity ecosystem development, system architecture, systems administration, service desk and technician support, scientific programming, and more.

(NASDAQ: DLHC) (“DLH” or the “Company”), a leading provider of systems engineering and integration, digital transformation, and science research and development solutions to federal agencies, today announced that its subsidiary Grove Resource Solutions LLC (“GRSi”) has been awarded a contract to continue and expand its support for Enterprise Staging and Delivery (“ES&D”) for the Naval Information Warfare Center (“NIWC”) Atlantic. NIWC Atlantic is a Department of the Navy organization dedicated to delivering secure, integrated, and innovative technical solutions to naval, joint and national agencies across the globe.
The contract includes a base period of one year with four one-year options, with a total value of $14.6 million. The Company will provide end-to-end processing of information systems including cybersecurity hardening, adherence to procurement specifications, IT imaging management, and supply chain management. In addition, DLH will leverage intelligent logistics methods and tools to assist in capacity and throughput planning, operation of the ES&D facility itself, and full-spectrum asset tracking modernization of government systems.

Atlanta, Georgia – February 27, 2023 – DLH Holdings Corp. (NASDAQ: DLHC) (“DLH” or the “Company”), a leading provider of science research and development, systems engineering and integration, and digital transformation solutions to federal agencies, today announced that its subsidiary Grove Resource Solutions LLC (“GRSi”) has been awarded a multiple-award blanket purchase agreement (“BPA”) to provide leading-edge enterprise and specialized information technology (“IT”) services to the National Cancer Institute’s (“NCI”) Center for Biomedical Informatics and Information Technology (“CBIIT”). NCI is an institute of the National Institutes of Health (“NIH”) dedicated to leading, conducting, and supporting cancer research across the nation with the aim of advancing scientific knowledge and prolonging human lives; CBIIT provides critical IT services in support of that mission.
The multiple-award contract has a five-year period of performance, and the government estimates that the aggregate ceiling for this BPA IDIQ will total $1.7 billion. Specific values will be allocated to contractors as task orders are competed and awarded. Including DLH, eight awardees have been named to this contract. GRSi has supported CBIIT through the organization’s enterprise Desktop Management and User Support program since 2018.

Under task orders to be awarded under the BPA responsibilities may include operations and maintenance, information systems security, service desk, engineering, cloud platform management and support, enterprise Software as a Service (“SaaS”) platform management, data management, and more.

Broadens Digital Transformation and IT Modernization Solutions, Paving Way for New Growth, Opportunities; Webcast and Conference Call on December 13
Atlanta, Georgia – December 8, 2022 – DLH Holdings Corp. (NASDAQ: DLHC) (“DLH” or the “Company”), a leading provider of research and development, systems engineering and integration, and digital transformation solutions to federal agencies, today announced that it has acquired privately-held Grove Resource Solutions, Inc. (“GRSi”) of Bethesda, Maryland.
The firm, with approximately 700 employees, provides a broad array of cloud-based enterprise modernization and cyber security solutions to numerous civilian and military federal agencies, most notably the National Institutes of Health (NIH), U.S. Navy (USN), and U.S. Marine Corps (USMC), among others.

GRSi was purchased for $185.0 million, or $157.9 million net of transaction-related tax benefits worth approximately $27.1 million on a net present value basis. The purchase price includes $178.0 million of cash and $7.0 million of equity. DLH estimates that GRSi will contribute annualized revenue of approximately $140 million to the Company going forward, and the firm’s backlog was approximately $550 million at closing. GRSi will be a wholly owned subsidiary of DLH Holdings Corp., and current GRSi key operations leaders are expected to remain with DLH in leadership roles.

DLH financed the acquisition through an amendment to its existing secured credit facility. First National Bank of Pennsylvania acted as agent, and F.N.B. Capital Markets, M&T Bank, and Atlantic Union Bank acted as joint lead arrangers. The credit facility was comprised of a syndicated term loan of $190 million and a revolving credit facility of $70 million. GRSi, a provider of state-of-the-art innovations and solutions across the Civilian, National Security, and Intel communities, has been awarded a 5-year contract to support the National Institutes of Health’s (NIH’s) All of Us Research Program (All of Us). All of Us is a mission-critical effort born from the Precision Medicine Initiative (PMI), focusing on significantly increasing the diversity of health data available to NIH-funded researchers. This not only increases the data available to research teams to enhance specialized and individualized healthcare, but also improves access to clinical studies for under-represented communities. This contract is an expansion and continuation of the support GRSi has provided to All of Us since 2019 and was solicited as a sole-source procurement due to GRSi’s key role in support of The Program’s mission. GRSi was initially engaged by All of Us in 2019 to provide organizational development and management consulting services as The Program was expanding from 45 Federal employees to more than 200. GRSi, a provider of state-of-the-art innovations and solutions across the Civilian, National Security, and Intel communities, has been awarded a 2-year contract to support NIH’s Science and Technology Research Infrastructure for Discovery, Experimentation, and Sustainability (STRIDES) program through the Center for Information Technology (CIT). STRIDES provides all 27 NIH Institutes and Centers (ICs) as well as tens of thousands of their Extramural research partners with leading-edge Cloud platforms and capabilities as-a-Service. STRIDES currently provides key Amazon Web Services (AWS) and Google Cloud Platform (GCP) services that are integral to mission-critical, NIH-wide initiatives. Programs such as Trans-Omics for Precision Medicine (TOPMed) and BioData Catalyst heavily utilize these platforms to enable multi-petabyte-scale high-performance Cloud computing and big data analytics for genomic research across the world.
Under this program, GRSi will drive the strategic alignment of STRIDES capability offerings with trans-NIH mission and business needs through shared poly-Cloud architecture, governance, engineering, cybersecurity, and operational support services. This includes integrating Microsoft Azure as a centrally managed STRIDES platform for all NIH ICs and research partners, as well as evaluating and implementing additional specialized Cloud Service Providers (CSPs) for niche mission needs. GRSi is excited to welcome Kevin Humphreys to the team as Director of Finance. In this role, Kevin will provide an increased focus on the organization’s financial needs resulting from the amazing growth the company has seen in recent years. Working under the direction of the Vice President of Accounting and Compliance, he will perform and manage a team responsible for pricing, financial reporting/analysis, and customer invoicing, among other tasks.
Before coming to GRSi, Kevin held positions as Division Finance Lead and Senior Manager of Financial Planning & Analysis for Dovel Technologies and CSRA/General Dynamics, respectively, where he led financial planning, analysis, budgeting, and reporting teams. He also led the overhaul of planning and forecasting and analysis models in addition to driving monthly close and reporting cycles and corporate analysis as a member of the planning design team. Kevin holds a Master of Business Administration in Finance and Accounting from Wake Forest University and a Bachelor of Arts in International Business from Eckert College.

The Department of Homeland Security (DHS) has selected GRSi to provide enterprise telecommunications support services for the technical and administrative management of the Federal Law Enforcement Training Center (FLETC) Enterprise Telecommunications System environment. Under this scope of work, GRSi will drive technical and administrative management of the enterprise telecommunications infrastructure to include analog, digital, Voice Over IP (VOIP), and Session Initiation Protocol (SIP) communication, among others.
The team will also support FLETC’s telecommunication systems hardware and operating systems, telecommunication systems applications, disaster recovery, and continuity of operations for the FLETC enterprise telecommunication environment. These operations will be conducted from the FLETC location in Glynco, GA.

The National Institutes of Health (NIH) Office of the Director has chosen GRSi to help support development of innovations in its Executive Leadership onboarding. The team will assess and facilitate evolution of the onboarding process for senior leaders in the OD and carry that from basic orientation to more advanced and deep processing of roles and organizational structures of the OD that are impactful to the positions held by new leaders.
In addition, GRSi will provide active assimilation services by helping leaders understand the OD organizational culture and politics not only within the OD, but also with its relationship to NIH. Continuing growth at GRSi has placed new importance and focus on the world-class services the team provides to their customers and because of that, Dietrich Affeldt has been named Director, Technical Solutions & Delivery. In this role, he will provide enterprise technical solutions across all GRSi portfolios and programs, enhancing the delivery of mission-critical support to our clients and their end users.
Prior to this role, Dietrich served on the GRSi Leadership Team as Technical Project Manager, supporting GRSi’s internal IT initiatives as well as enabling excellent service delivery across our client-facing programs. Additionally, he actively supported technical programs across GRSi’s Civilian portfolio and has helped to bridge the gaps across all GRSi portfolios to leverage expertise throughout the organization to better support our clients and their missions. In addition to being a Certified Scrum Master, Dietrich also holds certifications in ITIL and Project Management best practices, among others. Moving forward, he will utilize his skills in Agile methodologies, DevSecOps, and Enterprise IT Operations to provide best practices and solutions designed to help meet the mission needs of their customers.

The California Army National Guard (CAARNG) awarded GRSi with a new task order to provide records digitization as part of the ITES-3S IDIQ contract. Our team will perform records digitization and indexing from microfiche, film, and paper to avoid deterioration and loss of records. Digitizing the microfiche and film archive is critical to ensuring preservation of each record for service members and their families.
Operating within GRSi’s Defense Programs Division, this effort will utilize its offerings in defense, engineering, and technology services. The company will partner with TDEC, a HUBZone Small Business headquartered in Maryland that provides cost-effective solutions for labor-intensive functions, such as document management, administrative support, call center assistance, financial processing, and lockbox services.

GRSi was awarded a new task supporting the Department of the Navy’s (DON) littoral combat ships (LCS) as part of the Seaport Next Generation (SeaPort NxG) IDIQ. Under this scope of work, the team will provide services that potentially span the entire spectrum of mission areas and technical capabilities supported by the DON ordering activities. The GRSi team will provide engineering and program management services in support of this critical and agile program of the DON across 23 functional area subcategories.

GRSi has taken another step forward by naming Kelly Baldwin as Vice President of Defense Programs and General Manager of NIWC Operations. Having been with the company since 2015, Kelly had already been running one of the company’s largest programs while also leading the platform integration business unit. His customer knowledge, expertise, and personality make him a perfect fit for this dual role.
Kelly’s accomplishments and career highlights are numerous, including the management of large and complex programs that provided him with a deep understanding of the customers’ missions. He will continue to base his operations from the company’s Charleston, SC office and work with the team there to offer system hardening, information assurance, and PKI/CAC/PIV integrations among others.
